HedgEye On The Prize™ Contest Rules

HedgEye On The Prize™ (THE “CONTEST”) IS SPONSORED BY HEDGEYE RISK MANAGEMENT, LLC (“HEDGEYE”®) AND IS INTENDED TO BE CONDUCTED IN THE UNITED STATES OF AMERICA (“U.S.”) ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO APPLICABLE U.S. LAW. NO PURCHASE IS NECESSARY AND A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. PARTICIPANTS MUST BE 18 YEARS OR OLDER AT THE TIME OF ENTRY. VOID IN WHOLE OR PART, WHERE PROHIBITED BY LAW. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE CONTEST RULES (THE “CONTEST RULES”). THE CONTEST IS A STOCK MARKET SIMULATION GAME AND ALL PURCHASES OR SALES OF ANY SECURITY OR DERIVATIVE MADE IN THE CONTEST SHALL NOT CONSTITUTE ACTUAL STOCK MARKET TRADES NOR SHALL THEY HAVE ANY EFFECT UPON ACTUAL FINANCIAL MARKETS. THERE IS NO GUARANTEE THAT PRICES OR MARKET CONDITIONS OF THE CONTEST’S SIMULATION ENVIRONMENT WILL BEHAVIOR OR PERFORMANCE IN ACCORDANCE WITH ACTUAL MARKETS.

1. Registration.
The Contest Registration commences at 9:30 a.m. Eastern Time (“ET”) on Monday, October 11th, 2021, and shall continue until the Contest concludes on December 17th, 2021. Hedgeye and its affiliates (the “Hedgeye Group”) and Stock-Trak Inc. (“Stock-Trak Inc.”) reserve the right to limit, turn off, reject or cancel registrations as deemed necessary in their sole discretion. To register online, complete and submit the entry form located at https://hedgeye.stocktrak.com (the “Contest Website”). Registration for the Contest is limited to one (1) entry in the Contest, per individual person (“Registrant”). Individuals may group with other individuals to form a single Registrant, but any such individual may not group with, or constitute, more than one Registrant. Registration requires a valid first name, last name, email address, phone number, and acceptance of the site privacy policy and terms & conditions.

2. Trading Period.
The trading period begins at 9:30 a.m. ET on Monday, October 25th, 2021, and concludes at 4:00 p.m. ET on December 17th, 2021 (the “Trading Period”).

3. Initial Cash Balance.
Each Registrant to the Contest will be given an initial balance of $100,000 of notional fantasy funds (“Fantasy Funds”) (no actual money will be involved) in their Contest portfolio account (the “Account”).

4. Eligible Securities.
Registrants can execute notional transactions only in U.S.-listed electronic trade funds (“ETFs”) and specific single stock equities (“Stock”) selected by Hedgeye from time-to-time, and as updated within the Stock-Trak Inc. trading user interface (collectively “Eligible Securities”). Registrants will be capped at a maximum position of 6% of the total notional value of their Account in any Eligible Security at the time an initial position is entered. Registrants cannot trade any ETF, Stock, derivative, commodity, currency or any other financial instrument not made available in Stock-Trak trading user interface , as any such instrument is not within the definition of an Eligible Security. Stock-Trak trading user interface is maintained by Hedgeye, subject to any security’s availability within the Stock-Trak platform. The list will be periodically updated, at Hedgeye’s sole discretion, in an effort to reflect the securities discussed and covered by Hedgeye research (subscriptions available at www.hedgeye.com). The list of Eligible Securities is not an exhaustive list of all securities or financial instruments covered by Hedgeye’s research and is not intended to be any recommendation or investment advice by Hedgeye regarding any financial instrument. Eligible Securities may include financial instruments that are not discussed or covered by Hedgeye research, and financial instruments discussed or covered by Hedgeye research may be absent from the list of Eligible Securities. Hedgeye makes no representations or guarantees regarding the availability of any financial instrument as an Eligible Security.

5. Order Types and Trade Execution.
Market, limit, and stop orders will be accepted. All orders are executed at the real-time bid/ask prices when placed during market hours. The Contest Website will display a price estimate delayed by 15-20 minutes. Each transaction made by a Registrant will automatically appear in the Registrant's Account and transaction history. Orders placed while the markets are closed will be executed at an appropriate bid/ask price shortly after the market opens. Transactions placed after market hours can be viewed in the Registrant’s order history. Pending transactions can be cancelled until 9:25 am ET on the day the trade is scheduled for execution. Pending market orders placed on temporarily halted securities will be cancelled if trading does not resume by the end of the day. Limit and stop orders may be placed as "Day" orders which are good for the day only, or as "GTC" orders, which are good until cancelled. If a Registrant does not have adequate Fantasy Funds or buying power to process a trade in his/her Account, the number of units will be adjusted to allow the trade to be filled as best it can.

6. Commissions.
Each trade made by a Registrant (described below) in their Account will not incur a notional broker commission fee regardless of the number of units traded.

7. Buying on Margin.
Buying on margin is not permitted.

8. A minimum stock price of $5 is effect for both buying and shorting.

9. Splits, Dividends and other Corporate Actions.
Most stock splits, dividends, and other corporate actions reported by the news wires will be accounted for after the markets have closed and prior to the next market opening. These situations may cause Account values to be misrepresented until the reconciliation occurs.

10. Trading Halts. Halted, restricted, and blocked securities will not be available for trading.
Any trade that is confirmed after trading has been halted will be reversed.

11. Cancelling Market Orders.
Registrants cannot cancel market orders placed during market hours.

12. Discrepancies.
Registrants must report any Account discrepancy within two (2) days from the transaction date (“Discrepancy Reporting Period”). Stock-Trak Inc. will investigate and adjust any valid discrepancy. Discrepancies reported outside of the Discrepancy Reporting Period may or may not be adjusted in Stock-Trak Inc. sole discretion. All decisions of Stock-Trak Group and/or Hedgeye will be final. In the event of any discrepancy or inconsistency between the terms and conditions of these Contest Rules and disclosures or other statements contained in any Contest materials, including but not limited to the Contest entry form, or point of sale, television, print or online advertising, the terms and conditions of these Contest Rules shall prevail, govern and control.

13. Transaction Limits. Registrants are limited to 500 transactions during entirety of the Contest Trading Period.

14. Eligibility.
(a) In order to be eligible for the Contest, an individual must:
i. be a legal resident of US; and
ii. 18 years or older at the time of entry into the Contest.
Hedgeye Group and Stock-Trak Inc., their respective affiliates, related companies and current employees and a member of such individual’s household of any of such entities, are not eligible to participate the Contest.
(b) Hedgeye and Stock-Trak Inc. shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to Hedgeye and Stock-Trak Inc. for the purpose of the Contest must be truthful, complete, accurate and shall not be misleading. Hedgeye and Stock-Trak Inc. reserve the right, in their sole discretion, to disqualify any Registrant should such a Registrant at any stage engage in any conduct in violation of Section 20, supply untruthful, incomplete, inaccurate or misleading personal details and/or information or otherwise violate any Rule or the spirit any Rule.
(c) Prize Eligibility. In order to be eligible to win the prizes of the Contest described below, Registrants must be a U.S. resident of 18 years of age or older and at all times throughout the Contest, limited one (1) entry in the Contest.

15. Prizing.
(a) Top Investor Prize. Registrants will have the opportunity to win one (1) Top Investor Prize of $10,000.00 for the Registrant with the highest Account value at the end of the Trading Period. The Top Investor Prize includes an all expenses paid trip to appear on HedgeyeTV in Hedgeye’s Stamford, CT office (subject to additional conditions and limitations relating to travel and accommodations). The all expense paid trip to appear on Hedgeye TV includes a two (2) night stay at a New York City Hotel, a $500 Visa gift card, one economy round-trip flight and an invitation to have lunch with Hedgeye CEO, Keith McCullough .
(b) Runner-up Prize. Registrants will have an opportunity to win one (1) Runner-up Prize of $6,500.00 for the Registrant with the second highest Account value at the end of the Trading Period. The Runner-up Prize includes an invitation to attend lunch with Hedgeye CEO, Keith McCullough.
(c) Third-place Prize. Registrants will have an opportunity to win one (1) Third-Place Prize of $4,500 for the Registrant with the third highest Account value at the end of the Trading Period. The Third-place Prize includes an invitation to attend lunch with Hedgeye CEO, Keith McCullough.
(d) Fourth-place Prize. Registrants will have an opportunity to win one (1) Fourth-place Prize of $3,000 for the Registrant with the fourth highest Account values at the end of the Trading Period.
(e) Fifth-place Prize. Registrants will have an opportunity to win one (1) Fifth-place Prize of $2,000 for the Registrant with the fifth highest Account Values at the end of the Trading Period.
In addition to the above (a)-(e), Registrants with the top ten (10) highest Account values at the end of the Trading Period will have an opportunity to claim a one-year subscription to Hedgeye’s “Macro Pro” (retail value $10,000).
(f) Weekly Prizes. In addition, Registrants will be eligible for eight (8) Weekly Prizes (each a “Weekly Prize”) of $500 each. Registrants with the largest percentage gain in Registrant’s respective Account values for each week (commencing at 9:30am ET Monday and concluding at 4pm ET on Friday for each week) will be eligible to win the respective Weekly Prize.
(g) Monthly Prize. In addition, Registrants will be eligible for one (1) monthly prize (“Monthly Prize”) of $1,000. Registrant with the largest percentage gain in Registrant’s respective Account values for the Month of November (commencing at 9:30am ET on the first of November and concluding at 4pm ET on November 30th will be eligible to win the Monthly Prize.
All prizes are non-transferrable and cannot be exchanged for another prize, even of lesser value. Non-monetary prizes will not be “swapped out” and Registrants cannot redeem their cash value.
All prizes must be claimed within seven (7) days of Hedgeye noticing Registrants of their eligibility to claim a prize.

16. Leader Board and Official Results.
Registrants’ positions on the leader board are unofficial. Rankings of a Registrant on the leader board may not be accurate, current and make not reflect actual eligibility. Stock-Trak Inc. conducts audits to determine actual Contest performance and results. All pricing information is received from Xignites, an independent data provider, and neither Hedgeye nor Stock-Trak Inc. are responsible for the accuracy of such data. All prices are an approximation of market value at the time each trade is executed. Stock-Trak Inc and will make commercially reasonable efforts to ensure that trades are filled at actual price at the time of trade, but makes no guarantee that the price at which a Registrant buys or sells an Eligible Security will match any other price that may be found outside of the Contest or in actual markets. If Hedgeye or Stock-Trak Group finds trades counter to or outside the scope of these Contest Rules, Stock-Trak Group has final trading adjustment authority to rectify.

17. Prize Eligibility Notification.
Registrants eligible for a prize will be notified within a commercially reasonable timeframe via email from Hedgeye after the account audit process has concluded. Registrants are responsible to ensure that Hedgeye has been provided valid and accurate contact information. Registrants will be required to eligibility (including, but not limited to, proof Registrant is 18 years or older and a legal resident of the U.S.). Hedgeye, Stock-Trak Inc. and any other sponsor accept no responsibility for inaccurate or invalid information submitted by Registrants. Registrants are responsible for any taxes due and other expenses as a result of Registrant’s acceptance of a prize. Certain Registrants, in Hedgeye’s sole discretion, may be asked to appear on Hedgeye’s periodic “HedgEye On The Prize™” contest updates via Hedgeye’s online TV broadcasting platform. In particular, Registrants deemed to have won weekly contest and top-ranking Registrants may be invited to appear on these “HedgEye On The Prize™” contest updates (subject to additional conditions and limitations). Subject to delays, Registrants eligible for Prizes will be announced within 5 business days following the close of a period for which a Prize may be awarded (e.g. end of month, week or contest term, as applicable).

18. Release.
Each Registrant eligible for a prize will be required to execute a legal agreement and release (“Release”) that confirms Registrant’s: (i) eligibility and compliance with these Contest Rules; (ii) acceptance of the prize as offered; (iii) release of Hedgeye, Stock-Trak Inc and any other sponsors and their respective parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, sponsors, administrators, licensees, representatives, advertising, media buying and promotional agencies (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the trading platform, participation in any contest-related activity or the acceptance, use, or misuse of any prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) grant to Hedgeye the unrestricted right, in Hedgeye’s discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the Registrant’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof. The executed Release must be returned within two (2) business days of the notice to Registrant, or the selected Registrant will be disqualified, and the prize forfeited.

19. Conduct.
By participating in the Contest, each Registrant agrees to be bound by these Contest Rules, which will be posted at the Contest Website and made available throughout the Contest Period. Registrant further agrees to be bound by the decisions of Hedgeye and Inc, which shall be final and binding in all respects. Hedgeye and Stock-Trak Inc. reserve the right, in their sole discretion, to disqualify any Registrant found to be: (a) violating these Contest Rules; (b) tampering or attempting to tamper with the entry or trading process or the operation of the Contest or the Contest Website; (c) violating the terms of service, conditions of use and/or general rules or guidelines of the Contest Website; (d) engaging in any activity that constitutes, collusion, market manipulation or attempts to engage in any collusion or market manipulation within the simulated environment; and/or (e) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR ANY RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO CRIMINAL PROSECUTION.
